Terms and Conditions of Use
Introduction
These Terms and Conditions of Use (TCU) govern access to and use of the online platform FREEZBEE (hereinafter "the Platform" or "FREEZBEE"), which aims to connect brands (hereinafter "Brand") wishing to promote their products or services on LinkedIn with content creators (hereinafter "User") of all audience sizes.
Registration and User Obligations
Registration
Any individual or legal entity may request to register on the Platform. To do so, they simply need to provide the required information (name, first name, email, phone number for individuals, corresponding information for legal entities) and answer a series of questions related to their skills and LinkedIn audience. The registration request results in the creation of an Account. However, the user will only be able to fully use the Platform and receive Collaboration Offers once the registration request has been validated by the FREEZBEE team. The user understands and agrees that they may be contacted by phone or invited to meet with FREEZBEE members, notably to present the Platform's operation, verify the accuracy of the information provided, and/or request additional information. The User guarantees that they are creating the Account in their own name, have the power and capacity to create the Account and use the Platform, and that the information provided is accurate. FREEZBEE reserves the right to refuse any registration request.
Obligations
The user agrees to respond to brands that contact them via the platform or through their email or phone contacts after expressing interest in the collaboration offer.
Collaboration Offers and Brand Commitments
Brand Registration
Any individual or legal entity may request to register on the Platform. To do so, they simply need to provide the required information (name, first name, company name, email, phone number). The registration request results in the creation of an account. The Brand is invited to provide a valid payment method (bank details). The Brand guarantees to FREEZBEE that the individual responsible for creating the account has the power and capacity to create the account in accordance with the laws of the country in which they operate, as well as to benefit from the services and that the information provided is accurate. FREEZBEE reserves the right to refuse any registration request.
Platform Operation for Brands
Creation of Collaboration Offers
To facilitate the best possible match between the Brand's needs and the User's skills, the Brand is invited to provide as much detail as possible about its needs. This requires creating collaboration offers, which are accompanied by a price estimate. By validating the collaboration offer, the Brand accepts the pricing and related terms.
Connecting with Users
Thanks to the technology solution developed by FREEZBEE, FREEZBEE forwards the offer to the Users most likely to meet the need and disseminates the offers widely to find creators. The collaboration offer will be considered unfilled if no User is confirmed on the platform within a timeframe freely determined by FREEZBEE.
Acceptance of an Offer and Collaboration
The user receives collaboration offers via emails and notifications and can accept the offer using the corresponding feature. The information they provided in their account will then be transmitted to the Brand, which is informed of the User's acceptance of the offer. If the Brand decides to collaborate with the User, it can indicate this by confirming the collaboration using the corresponding feature. Once completed, the Brand can update the precise information about the collaboration (start date, duration, compensation, etc.) to accurately calculate the FREEZBEE commission.
Brand Commitments to Creators and FREEZBEE
Once the offer is validated, the Brand agrees to contact all creators proposed by the Platform within 7 days. Additionally, if the Brand collaborates with a creator proposed by FREEZBEE, it agrees to pay the agreed commission to FREEZBEE. Furthermore, Brands agree not to discriminate against creators proposed by FREEZBEE.
Payment and Refund Conditions
Payment Terms
The commission payment is debited by SEPA direct debit or through a payment service provider three days after the collaboration begins. FREEZBEE uses Stripe, a payment service provider, to manage payments.
Refund Conditions
If the collaboration does not take place, the Brand may report this to FREEZBEE via its company space on the Platform to avoid being charged. If the collaboration is interrupted midway, FREEZBEE agrees to find a replacement free of charge. If no replacement is found, the Brand will be refunded on a pro-rata basis.
Service Evolution and TCU Modification
To improve their operation and quality, FREEZBEE regularly updates the features of the Platform and Services. Thus, FREEZBEE may add, remove, or replace certain features at any time, and the Platform is updated automatically on a regular basis. These TCUs may be modified at any time by FREEZBEE. Use of the Platform after modification of the TCUs implies acceptance of these changes.
Governing Law and Jurisdiction
These TCUs are subject to French law. Any dispute relating to their interpretation and/or execution falls under the jurisdiction of the French courts.
Confidentiality and Personal Data Protection
Data Collection and Use
By using the Platform, users agree that FREEZBEE may collect, store, use, and disclose their personal data in accordance with applicable personal data protection laws and our Privacy Policy.
Data Security
FREEZBEE is committed to taking all necessary measures to ensure the security and confidentiality of users' personal data.
Liability
Reliability of Information
FREEZBEE strives to ensure the accuracy and updating of the information provided on the Platform but does not guarantee its reliability and cannot be held responsible for any errors or omissions.
Service Interruptions and Errors
FREEZBEE cannot be held responsible for interruptions or errors in the Platform's service, including, but not limited to, interruptions or errors caused by circumstances beyond FREEZBEE's control.
Intellectual Property
All content on the Platform, including, but not limited to, texts, images, graphics, logos, icons, sounds, and software, is the property of FREEZBEE or its partners and is protected by French and international intellectual property laws. Any reproduction, representation, modification, publication, transmission, distortion, whether in whole or in part, of the Platform's content is strictly prohibited.
Termination
FREEZBEE reserves the right to suspend or terminate any user's access to the Platform in case of violation of these TCUs.
